Can a foreigner own a Georgian LLC?+
A standard Georgian LLC may be established with foreign ownership. The appropriate documents and signing route depend on whether the founder registers in person or through a representative.
Is a Georgian legal address required?+
Yes. The Business Registry requires a physical legal address in Georgia and evidence of the right to use it. Our 12-month Tbilisi address option includes owner consent for registration.
Can the company be registered remotely?+
Yes, representation can be arranged through a properly notarized and Apostilled or legalized Power of Attorney, depending on the issuing country. Courier and foreign notary costs are separate.
Is a bank account guaranteed?+
No. Registration of an LLC and approval of a corporate bank account are separate processes. Banks conduct their own KYC, business-model and source-of-funds review. We can prepare and support the application, but no responsible provider can guarantee approval.
How is an LLC taxed?+
Georgia generally applies 15% profit tax to taxable distributions and specified deemed distributions. Dividends paid to a natural person or non-resident enterprise are generally subject to 5% withholding, subject to exceptions and treaty analysis. VAT, salary and source-of-income rules require an individual assessment.
Do I need accounting if the company is inactive?+
A registered company still needs its tax position monitored and may have filing obligations even during periods without trading. We offer ongoing non-VAT accounting support from 400 GEL per month.
