Is an LLC right for you?

A strong fit when business is bigger than one freelancer.

Choose an LLC if you:
  • want separation between personal and company liabilities
  • have or expect multiple shareholders
  • need a corporate structure for contracts, staff, assets or IP
  • plan to build a team, agency, trading or scalable operation
Compare an IE first if you:
  • work alone and mainly sell your own services
  • expect turnover within the Small Business Status threshold
  • prefer simpler administration over liability separation
  • may qualify for Georgia’s 1% turnover regime

Not in Georgia?

Register remotely through a representative.

We prepare the Georgian registration file and Power of Attorney instructions. You arrange the required foreign notarization and Apostille or legalization, then send the original documents to Georgia where required.

Remote file usually starts with:

  • clear passport copy
  • preferred company names and activity description
  • home address and contact details
  • shareholder and director information
  • notarized and Apostilled/legalized Power of Attorney
  • notarized and Apostilled/legalized passport copy where required
Requirements vary by issuing country and structure. We confirm the exact list before you notarize anything.

Tax snapshot—not a personal tax opinion

Georgia generally taxes company profit when it is distributed.

15%general profit-tax rate on taxable distributions and specified deemed distributions
5%general dividend withholding rate for payments to natural persons or non-resident enterprises
18%standard VAT rate where registration and taxable-supply rules apply

Exact treatment depends on the activity, customers, transaction flow, residency, permanent-establishment exposure and applicable treaty. Obtain an individual tax review before relying on headline rates.

Before you register

Questions serious founders ask.

Can a foreigner own a Georgian LLC?+

A standard Georgian LLC may be established with foreign ownership. The appropriate documents and signing route depend on whether the founder registers in person or through a representative.

Is a Georgian legal address required?+

Yes. The Business Registry requires a physical legal address in Georgia and evidence of the right to use it. Our 12-month Tbilisi address option includes owner consent for registration.

Can the company be registered remotely?+

Yes, representation can be arranged through a properly notarized and Apostilled or legalized Power of Attorney, depending on the issuing country. Courier and foreign notary costs are separate.

Is a bank account guaranteed?+

No. Registration of an LLC and approval of a corporate bank account are separate processes. Banks conduct their own KYC, business-model and source-of-funds review. We can prepare and support the application, but no responsible provider can guarantee approval.

How is an LLC taxed?+

Georgia generally applies 15% profit tax to taxable distributions and specified deemed distributions. Dividends paid to a natural person or non-resident enterprise are generally subject to 5% withholding, subject to exceptions and treaty analysis. VAT, salary and source-of-income rules require an individual assessment.

Do I need accounting if the company is inactive?+

A registered company still needs its tax position monitored and may have filing obligations even during periods without trading. We offer ongoing non-VAT accounting support from 400 GEL per month.
